1. Scope and acceptance
- These terms supplement Coviqo’s Terms of Service and apply to owners of communities (spaces of type Community or Hybrid) that sell paid memberships or tickets via Coviqo (“sellers”). “Coviqo” in these terms means Dennis Albert, 2 Rue de Carignan, Bouneweg-Süd Luxembourg, 1315 Luxembourg, Luxembourg, e-mail: [email protected].
- The seller expressly accepts these terms before its first sale; only the owner of the space can accept them on behalf of the community. Coviqo stores the acceptance (version, time, person).
- Sales are not possible in spaces of other types (e.g. workspaces, personal spaces). Whether the feature is available depends on Coviqo enabling it and on the space’s plan.
2. Coviqo’s role
- The seller is the sole seller and contracting party of the buyers. Coviqo provides the technical platform and is not a party to the contracts between seller and buyers.
- Stripe processes payments in the seller’s name via the seller’s own Stripe account (Stripe Connect). Stripe verifies the seller’s identity and handles payouts; Stripe’s terms, which the seller accepts during set-up, additionally apply to the Stripe account. Coviqo does not receive customer funds.
3. Seller obligations
The seller
- provides buyers with all legally required information, in particular on its identity, whether it acts as a business or as a private individual, price, term, cancellation and – towards consumers – the right of withdrawal;
- provides the promised services (access, content, events) itself and handles refunds, chargebacks and complaints;
- does not sell illegal services or content prohibited under Coviqo’s Terms of Service or Stripe’s terms; sales of paid memberships and tickets in communities marked “18+” are excluded;
- fulfils its own tax obligations and provides Coviqo with the information Coviqo is legally required to report as a platform operator (in particular under Directive (EU) 2021/514 – “DAC7”);
- must be an adult.
4. Platform fee
- Coviqo receives a platform fee on each payment as a percentage of the amount paid, but at least EUR 0.50 per payment (in other currencies the equivalent amount in the payment currency) and at most the amount paid. The rate depends on the space’s plan and is shown before set-up and at any time in the space settings under “Payouts”. The rate shown there at the time of the payment applies.
- Stripe withholds the platform fee with the payment and passes it on to Coviqo. The seller additionally bears Stripe’s fees.
5. Negative balances
If chargebacks or refunds exceed the seller’s Stripe balance, the seller makes up the shortfall. If Coviqo has covered it towards Stripe, the seller reimburses Coviqo.
6. Suspension and termination
Coviqo may block sales or disconnect the Stripe account if the seller breaches these terms, the Terms of Service or applicable law, or if Stripe restricts the account. Running memberships then end at the end of the paid period; the seller informs the buyers.
7. Liability and indemnity
The seller indemnifies Coviqo against claims of buyers and third parties arising from its sales. Otherwise § 17 of the Terms of Service applies.
8. Changes
If Coviqo changes these terms, the new version is shown in the space settings under “Payouts”. Sales are paused until the owner of the space has accepted the new version.
9. Governing law and final provisions
The law of the Grand Duchy of Luxembourg applies. For the governing law, jurisdiction and dispute resolution, §§ 19 to 21 of the Terms of Service apply accordingly.
